Silgan, a US maker of metal cans, closures and dispensing pumps, has agreed to buy Trivium Packaging, a European metal-packaging group, for an enterprise value of about $3.4bn in cash. Silgan will first combine its own metal-can and closure businesses with Trivium in a new company, in which investment firm AIP will take 40% for about $1.0bn, and Silgan will receive about $2.3bn in cash. Completion is expected in mid-2027.

## What happened

On Monday 19 October 2026, Silgan Holdings (NYSE: SLGN) announced, in a Form 8-K filed with the SEC (the US regulator) and a press release, that it will form a partnership with a vehicle linked to funds managed by AIP, LLC, a US private-equity firm. The partnership, called Silgan Metal Containers and Closures (Silgan MCC), will hold Silgan's Metal Containers segment and its food and beverage flat cap closures business, and will buy Trivium Packaging B.V. for an enterprise value of about $3.4bn, which is the price of the shares plus the debt taken on. Trivium makes metal cans and aerosol containers for food, pet food, nutrition and beauty products. Its sellers are Ontario Teachers' Pension Plan, which held the majority, and Ardagh Group, which is selling its stake of about 42% and expects about $90m in net cash. Silgan's board approved the deal unanimously, and closing is expected in mid-2027, subject to regulatory approvals and consultations with works councils, the employee bodies required in several European countries.

## The numbers, explained

The headline figure is the multiple, which shows how many years of operating profit the buyer pays for. Silgan says $3.4bn is 7.1 times Trivium's adjusted EBITDA for the 12 months to 30 June 2026. EBITDA is a company-defined measure of operating profit before interest, tax and depreciation, and adjusted means the company has removed items it considers one-off. Trivium's adjusted EBITDA over that period was $478.3m, on sales of $3,080.9m. Our working: 3,400 divided by 478.3 is 7.11, and 478.3 divided by 3,080.9 is a 15.5% margin, so it keeps about 15.5 cents of each dollar of sales as adjusted operating profit. Compared with calendar 2025 (sales $3,013.6m, adjusted EBITDA $460.0m), sales are up 2.2% and adjusted EBITDA up 4.0%. These are Silgan's presentation figures, not audited results.

The deal also leans on savings. Silgan expects $225m a year of cost savings (synergies) by the end of year three, about $75m in year one and $150m in year two. Adding them to Trivium's profit gives 3,400 divided by (478.3 plus 225), or 4.8 times, which matches Silgan's figure; this is a company expectation, not a result. The new company would have pro forma (as if combined) sales of $7,264.2m, from 4,183.3 plus 3,080.9, and adjusted EBITDA of $951.5m before savings, a 13.1% margin. Silgan says the deal should add at least 15% to its adjusted profit per share and to free cash flow, the cash left after running costs and equipment spending, on a cash basis that excludes purchase accounting. That is also a forecast. The company puts the combined new business at about 4.0 times net debt to adjusted EBITDA, against 3.4 times for all of Silgan at 31 December 2025.

## Why it matters

Silgan makes money by selling packaging to food, drink and consumer-goods brands, usually on long contracts. Today about half of its sales come from metal containers, and this deal would make metal far larger: Silgan MCC would be roughly 74% of the company's pro forma sales of $9,762.8m (6,681.9 plus 3,080.9). Its remaining businesses, dispensing pumps and custom containers, would become a separate segment, Silgan Dispensing Solutions, with sales of about $2.5bn and a higher margin of 22%. For food and pet-food brands the deal means one larger metal-can supplier in Europe and North America; for Ardagh, a rival can maker that called Trivium a non-core investment, it ends a minority holding and simplifies its structure. Silgan also says the structure creates a path to a tax-free distribution, meaning it could later hand shares in Silgan MCC to its own shareholders; it controls the timing and has set no date.

Funding matters for a deal this size. The listed sources are $4.9bn of new debt in Silgan MCC, $1.5bn of Silgan's own businesses rolled into the new company, and $1.0bn of AIP cash, a total of $7.4bn. The uses are $3.2bn for Trivium net of assumed debt-like items, $2.3bn in cash to Silgan, $1.5bn rolled over, $0.2bn of fees and $0.3bn to the balance sheet, also $7.4bn. Because the new debt sits in Silgan MCC and Silgan holds 60%, Silgan will fully consolidate it, adding all of its sales and debt to Silgan's accounts. Silgan says the $2.3bn will retire some of its existing debt. Reported fact and company forecast should be kept apart here: the amounts above are from Silgan's documents; how markets and credit-rating agencies judge the extra borrowing is not yet known.

## What to watch next

Silgan held an investor call on Monday 19 October 2026 at 8:00 a.m. Eastern time, with a replay on its website for 90 days. Its 8-K says the full agreement terms, including any termination fees, will be filed in a separate Form 8-K, so that filing is the next primary document to read. Silgan has also confirmed its existing outlook for adjusted profit per share for the third quarter and full year 2026. Completion is expected in mid-2027, after regulatory approvals and works council consultations, and the proposed later tax-free distribution has no date. We make no prediction about any of these.

> **Why it matters** A US can maker is buying a European rival and bringing in an investor for 40% of the combined business, which would make metal packaging about 74% of Silgan's pro forma sales.

> **What we verified** Enterprise value about $3.4bn, 7.1x LTM adjusted EBITDA, 4.8x with $225m synergies, 60/40 ownership, $1.0bn AIP equity, $2.3bn cash to Silgan, mid-2027 close: Silgan 8-K, press release and investor deck (SEC); $3.4bn, sellers and mid-2027 close also in Ardagh's release and Bloomberg Law. Trivium LTM sales $3,080.9m, adjusted EBITDA $478.3m, FY2025 $3,013.6m and $460.0m, sources and uses $7.4bn: Silgan investor deck (primary only). Percentages and multiples are our own working; EBITDA and EPS accretion are non-GAAP company measures and forecasts.
