On 16 October 2026 Citizens Financial Group, a large US regional bank, reported third-quarter profit of $636m, or $1.41 per share, up 34% on a year earlier. The gain came mainly from lending income, which rose 13%, and the bank raised its dividend by 13%. Sales were a shade below what experts had expected, and the value of its shares' tangible assets per share fell 6.6% from the previous quarter.

## What happened

Citizens Financial Group, which runs about 1,000 branches in 14 US states and Washington, D.C. with $234.5bn of assets, published its third-quarter 2026 results on Friday 16 October 2026 and held its earnings call at 9:00 a.m. Eastern time. Net income, meaning profit after all costs and taxes, was $636m, against $587m in the second quarter and $494m a year earlier. Diluted earnings per share, which is profit available to ordinary shareholders divided by all the shares that could exist if every option were exercised, were $1.41, against $1.30 last quarter and $1.05 a year ago. All figures here are reported (GAAP) US dollars for the quarter to 30 September 2026 unless stated.

Alongside the results the board declared a quarterly dividend of $0.52 per share, up $0.06 (13%) from the previous quarter, payable on 13 November 2026 to shareholders on the company's register at the close of business on 30 October 2026. It also raised the capacity of its share buyback programme, under which the bank buys its own shares in the market, to $1.95bn: that is $1.3bn more than the $650m left under its June 2025 authorisation.

## The numbers, explained

Start with profit. Net income rose $142m from a year ago, which is 28.7% (142 divided by 494), and $49m or 8.3% from the second quarter (49 divided by 587). Profit per share rose faster than total profit, by 34.3% (0.36 divided by 1.05), because the average number of diluted shares fell to 425.7 million from 435.5 million, which is 9.8 million fewer or 2.3%. The bank's return on tangible common equity, a measure of profit as a share of shareholders' capital after removing intangible assets such as goodwill, was 15.1%, against 13.9% last quarter and 11.7% a year ago.

Revenue has two parts. Net interest income, the gap between what the bank earns on loans and investments and what it pays on deposits and borrowing, was $1,675m, up 12.6% from $1,488m a year earlier (187 divided by 1,488) and up 2.7% from $1,631m last quarter. Noninterest income, mainly fees, was $647m against $630m, up 2.7% (17 divided by 630). Together that makes total revenue of $2,322m, up 9.6% (204 divided by 2,118). The net interest margin, which is net interest income as a share of the assets that earn interest, was 3.19% on a tax-adjusted basis, up from 3.17% last quarter and 3.00% a year ago, a gain of 19 basis points (a basis point is one hundredth of a percentage point). The company credits the fading drag from ended interest-rate swaps and older fixed-rate assets repricing higher.

Costs and credit helped. Noninterest expense was $1,393m, level with $1,394m last quarter and up 4.3% from $1,335m a year ago (58 divided by 1,335). Because revenue grew faster than costs, the efficiency ratio, which is costs as a share of revenue where lower is better, improved to 60.0% (1,393 divided by 2,322) from 63.0% a year ago, which the bank calls positive operating leverage of 5.3% (revenue growth of 9.6% minus expense growth of 4.3%). Profit before setting aside money for bad loans was $929m (2,322 minus 1,393), up 18.6% on a year ago. The provision for credit losses, money set aside against loans that may not be repaid, was $125m against $154m a year earlier, down 18.8% (29 divided by 154). Net charge-offs, loans actually written off, were $137m, or 0.37% of average loans, against $162m (0.46%) a year ago.

## Why it matters

Citizens earns most of its money the traditional way: it lends to households and companies, funds that mostly with customer deposits, and keeps the difference as net interest income. It also earns fees from wealth management, cards and deal advice. This quarter the lending side did the heavy lifting while some fee lines weakened. Wealth fees hit a record $109m, up 17.2% on the year (16 divided by 93), but capital markets fees, which come from deal advice and arranging loans, fell 10.2% to $149m from $166m, and mortgage fees fell 28.6% to $35m from $49m. The bank says its Private Bank, a newer service for wealthier clients, added $0.16 to profit per share and that its deposits there reached $18.5bn, up about $750m (4%) in the quarter.

Two cautions sit beside the strong profit figures. First, revenue of $2.32bn was slightly below the roughly $2.33bn to $2.34bn that analysts had expected, according to Zacks and other outlets; profit per share of $1.41 was above their forecasts of about $1.38 to $1.40. Second, tangible book value per share, the value of the bank's tangible shareholders' capital divided by the number of shares, fell to $35.78 from $38.29 in the second quarter, down $2.51 or 6.6%, and total common equity fell $1.1bn to $22.95bn. The release does not give a single stated reason. It did report that its securities portfolio's effective duration, a measure of price sensitivity to interest rates, lengthened to 4.6 years from 4.1 at 30 June; any link is our context, not a company statement. Its core capital ratio, CET1, was 10.5%, against 10.4% last quarter and 10.7% a year ago.

## What to watch next

The $0.52 dividend is paid to shareholders on the company's register at the close of business on Friday 30 October 2026, and the payment date is Friday 13 November 2026, per the company. The bank has not stated a date for its fourth-quarter results in the materials we read, so none is given here. When it reports, worth comparing are the net interest margin against 3.19%, expenses against $1,393m, net charge-offs against 0.37% of loans, tangible book value per share against $35.78 and CET1 against 10.5%.

- Net interest margin: what a bank earns on loans and investments minus what it pays on deposits, as a share of its earning assets.
- Tangible book value per share: shareholders' capital with intangible assets removed, divided by the number of shares.
- Efficiency ratio: a bank's running costs as a share of its revenue; a lower number is better.

> **Why it matters** Citizens' profit per share rose 34% from a year ago as interest on loans grew faster than costs, and the bank raised its dividend 13%. Sales were a touch below expectations and the per-share value of its tangible capital fell 6.6% in a quarter, so the picture is strong but not one-sided.

> **What we verified** From Citizens' 16 October 2026 SEC 8-K, Exhibit 99.1 (US dollars, GAAP, quarter to 30 September 2026): net income $636m vs $587m (Q2) and $494m (year ago); diluted EPS $1.41 vs $1.30 and $1.05; net interest income $1,675m; noninterest income $647m; expense $1,393m; provision $125m; net charge-offs $137m (0.37%); net interest margin 3.19%; CET1 10.5%; tangible book value per share $35.78 vs $38.29; dividend $0.52; buyback capacity $1.95bn. The company's Business Wire release (Yahoo Finance) confirms net income, EPS, ROTCE, dividend, dates and buyback; Zacks (TradingView) confirms EPS, revenue, net interest income, expenses, margin, net charge-offs and capital ratios. Percentages are our own calculations; analyst expectations ($1.38 to $1.40 EPS, $2.33bn to $2.34bn revenue) differ slightly by outlet and are estimates.
